1. Overview

These Terms of Use and Conditions (the “Terms”) form a legally binding agreement between you (“you”, “user”, “customer”, “visitor”) and Pro Solar Tech SRL (“we”, “us”, “our”) regarding your access to and use of https://prosolarstructures.com (the “Website”) and any content, products, or services made available through it. By accessing, browsing, or using the Website, creating an account, submitting a quote request, placing an order, or otherwise interacting with us online, you acknowledge that you have read, understood, and agree to comply with these Terms and all applicable Romanian and EU laws and regulations.

Updates: We may revise these Terms and any information on the Website at any time without prior notice. Your continued use of the Website after publication of the updated Terms constitutes your acceptance. If you do not agree with these Terms, you must discontinue use of the Website.

2. Warranty of Products

Coverage: All products commercialized by Pro Solar Tech benefit from warranty protection in accordance with Romanian and EU consumer protection legislation. Unless otherwise specified, the minimum warranty period is 2 years. Certain product categories may include extended warranties; such extensions are identified in the product page, offer, technical sheet, or contractual documentation.

Certificate: Each product is delivered with a Warranty Certificate, attached to the invoice at the time of delivery. The certificate states the duration, territorial coverage, and conditions for claiming the warranty, including maintenance requirements and proper use guidelines.

Product Types:

  • Simple products: manufactured goods that may be in our stock or our suppliers’ stock (including discontinued items where stock remains).
  • Complex products: made-to-order or custom-fabricated structures (e.g., photovoltaic structures engineered to project specifications). These are not held in stock and are fabricated only after a confirmed order and, where applicable, technical validation and deposit.

Scope & Exclusions: Warranty does not cover defects caused by improper installation, improper storage, unauthorized modifications, mechanical impact, corrosion due to chemical exposure outside specification, force majeure, or use inconsistent with technical datasheets or installation manuals. Consumables and normal wear are excluded unless mandated by law.

Consumer Protection: Your statutory rights under ANPC (Autoritatea Națională pentru Protecția Consumatorilor) and EU law remain unaffected.

3. Returns and Right of Withdrawal

Right of Withdrawal (14 days): For consumer purchases of simple products and online services, you may cancel and return within 14 calendar days without providing a reason.

Condition of Goods: Products must be returned unused, in their original packaging, sealed (where applicable), undamaged, and accompanied by all accessories, manuals, and documentation. We reserve the right to reasonably reduce refunds where returned items are diminished in value due to handling beyond what is necessary to establish their nature, characteristics, and functioning.

Exclusions (non-exhaustive):

  • Products made to order or clearly personalized (e.g., PV structures tailored to a site).
  • Sealed audio/video media or software once unsealed after delivery.
  • Digital content once downloading/streaming has begun with your consent.
  • Goods liable to deteriorate or expire rapidly.
  • Sealed goods not suitable for return for health/hygiene reasons if unsealed.
  • Urgent repairs/maintenance services and time-bound services (tickets, reservations).

Deadlines: The 14-day period runs from (i) receipt of goods, or (ii) conclusion of the contract for services. If the last day falls on a non-working day, the period extends to the next working day.

4. How to Cancel a Purchase

Notification: You must inform us of your decision to cancel; simply sending back products is not sufficient. You may:

  • Request and use our withdrawal/return form (optional),
  • Email us at office@prosolarstructures.com, or
  • Include a written withdrawal declaration with the returned goods.

Return Window: After notifying us, you have 14 days to dispatch the goods back to us.

Costs & Refunds: Unless otherwise communicated, return shipping costs are borne by the customer. For bulky goods, we will provide at least an estimate of return costs. Refunds are processed within 14 days from receipt of goods or from proof of return, using the original payment method unless agreed otherwise.

5. Use of the Website & Intellectual Property

The Website and all content (including text, graphics, photographs, designs, logos, video, audio, software, code, documentation, and data) are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and display the Website on your personal device for non-commercial purposes.

You may not copy, reproduce, republish, upload, transmit, distribute, publicly display, make derivative works from, reverse engineer, or otherwise exploit any part of the Website without our prior written consent. Any license granted automatically terminates upon breach.

6. Acceptable Use Policy

You agree that you will not:

  • Introduce malware, spyware, viruses, or other malicious code.
  • Attempt unauthorized access to the Website, servers, or databases.
  • Use bots, scrapers, or automated means to access or extract data without written permission.
  • Interfere with or disrupt the Website’s integrity, security, or performance.

We may suspend or terminate access if we reasonably believe you have violated this policy.

No Guarantee of Accuracy: The Website may contain technical inaccuracies, typographical errors, or outdated information. We do not warrant that the content is complete, accurate, current, or error-free, and we assume no obligation to update it.

“As Is” and “As Available”: Except as required by law, the Website, content, and services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, merchantability, title, and non-infringement.

Availability: We do not warrant that the Website will be uninterrupted, secure, or free of errors or harmful components. Scheduled and unscheduled downtime may occur.

9. Limitation of Liability

To the fullest extent permitted by law, Pro Solar Tech SRL, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business interruption, or other intangible losses, arising out of or related to your access to or use of (or inability to access or use) the Website, content, or services, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Pro Solar Tech SRL and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your misuse of the Website.

11. Third-Party Links & Services

The Website may contain links to third-party websites or services. These links are provided for convenience only; we do not control, endorse, or assume responsibility for third-party content, policies, security, or practices. Accessing third-party resources is at your own risk. Any third-party goods or services are governed by the third party’s terms.

12. Force Majeure

We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, strikes or labor disputes, governmental actions, embargoes, power or internet outages, supplier failures, or large-scale cyberattacks. Performance shall be suspended for the duration of such events.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of Romania and applicable EU legislation, without regard to conflict-of-law rules. The competent Romanian courts shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or the Website, unless mandatory consumer law provides otherwise.

Consumer Redress: Consumers may seek assistance from ANPC and/or use the European Online Dispute Resolution (ODR) platform for disputes related to online purchases.

15. International Use

The Website may be accessed from jurisdictions other than Romania. Users are responsible for complying with local laws to the extent they apply. Accessing the Website from territories where its content or services are illegal is prohibited.

16. Termination

We may, with or without notice, suspend or terminate your access to the Website if we reasonably believe you have violated these Terms, applicable laws, or engaged in fraudulent, abusive, or harmful conduct. Termination does not limit our rights to seek other remedies.

17. Changes to These Terms

We may update these Terms periodically. The most current version will be posted on this page with the effective date at the top. By continuing to use the Website after changes become effective, you agree to be bound by the revised Terms.
